Terms of Service
These Terms of Service (“Terms”) govern your use of the Upkit mobile application (the “Application”), which is owned and operated by Synctronic LTD (“we,” “us,” or “our”). By downloading, installing, or using Upkit, you agree to be bound by these Terms and our Privacy Policy.
User Eligibility
- Minimum Age: Upkit is intended for users who are at least 13 years of age. Some jurisdictions set a higher minimum age for consenting to the processing of personal data. Where the applicable minimum age in your jurisdiction is higher than 13, that higher age applies to you, and if you are below it you may not use the Application.
- Minor Consent: If you are under 18 (or the age of majority in your jurisdiction) and above the Minimum Age, you may only use the Application with the consent and under the supervision of a parent or legal guardian who agrees to these Terms. This applies even where the minor installs or operates the Application on their own device: the consenting parent or legal guardian remains responsible for the minor’s use of the Application, for the accuracy of the information entered, and for ensuring that medication is taken in accordance with professional medical advice. Where a user aged under 18 records a birth date in the Application, the Application asks them to confirm that a parent or guardian has consented to their use, and records that confirmation on the device.
- Capacity: The Application relies on the user being able to read, understand, and follow both medication instructions and the operation of mobile applications. Where a person is unable to do so without assistance (for example, due to dementia or other cognitive impairments), the Application should be set up and managed on their behalf by a legal guardian or designated caregiver in accordance with the “Managing Another Person’s Profile” section below. Whoever is responsible for a profile — whether the user themselves or a caregiver managing it on someone’s behalf — must also regularly check that the information entered is correct and that the Application is functioning properly.
Governing Law & Jurisdiction
- Governing Law: These Terms are governed by and construed in accordance with the laws of England and Wales.
- Jurisdiction: Any disputes arising from the use of the Application shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Governing Language: The official version of these Terms of Service is in English. While we may provide translations for your convenience, these are for informational purposes only. In the event of any conflict, ambiguity, or discrepancy between the English version and any translated version, the English language version shall prevail.
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Survival: The provisions of these Terms that by their nature should survive termination will survive, including the Medical & Emergency Disclaimers, the Limitation of Liability, the Assumption of Risk and Indemnification provisions, the Intellectual Property terms, and these Governing Law & Jurisdiction provisions. This applies whether your use of the Application ends because you stop using or uninstall it, or because we modify, suspend, or discontinue it.
- Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Synctronic LTD regarding Upkit and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
- Compliance: You are responsible for ensuring your use of the Application complies with all local laws and regulations.
Medical & Emergency Disclaimers
- Informational Purposes: All Application and website content and workflows are provided for informational purposes only. It is not a substitute for professional advice, and your reliance on any information provided is solely at your own risk.
- No Medical Advice: Upkit is a productivity tool for scheduling and organizing your healthcare data and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified medical professional before making health decisions.
- No Interaction or Contraindication Checking: Upkit lets you record health conditions and medications in the same Health Profile, but it does not analyze them together and does not provide any form of clinical decision support. The Application does not, and is not designed to, detect or warn you about drug interactions, drug–condition contraindications, allergies, duplicate therapy, dosing conflicts, or any other safety concern arising from the combination of the information you enter. The absence of a warning, alert, or any similar indication is not confirmation that a medication is safe or appropriate for you, your conditions, or your other medications, and must never be interpreted that way. You must rely on your prescribing physician or pharmacist — not on Upkit — to assess the safety and suitability of your medications in light of your health conditions.
- No Professional Relationship: Your use of the Application does not create a doctor-patient, pharmacist-patient, or any other professional-client relationship between you and Synctronic LTD.
- Emergency Situations: Upkit is not an emergency service. In a medical emergency, call your local emergency number immediately.
- Crucial Medication Warning: You acknowledge and accept that the Application may fail to deliver a reminder — including a refill reminder — for reasons inside or outside our control, and that for life-critical or time-sensitive medications you must not rely on Upkit as your sole reminder. You agree to set up independent, redundant reminders (such as your phone’s native alarm clock) for any such medication, and you accept the risk of any missed dose where you have not done so.
- Emergency Data Access: Because the Application operates offline, Synctronic LTD has no access to your health data and cannot provide user information to healthcare providers or emergency responders during a crisis.
- No Endorsement or Referral: Upkit does not verify, vet, endorse, recommend, or refer to any healthcare provider or facility. Any provider or facility you add, and any associated location or map information, is recorded solely for your own reference and may be inaccurate or incomplete. Including this information in Upkit does not constitute a referral or a recommendation by Synctronic LTD. While location search powered by third-party maps is provided for your convenience, the results may be wrong or outdated. You must always confirm the address directly with your healthcare provider, and we do not validate any of this information.
- Health Condition Records: Recording a health condition in Upkit stays on your own smartphone, and it is intended for your personal organization only. It does not constitute a diagnosis, medical advice, or confirmation of any condition, and should not be relied upon in place of professional medical assessment.
- Clinical Justification Marking: Upkit lets you tag a skip or pause reason as either “Clinically Justified” or “Not Clinically Justified.” Whichever you choose records your own understanding of what your prescriber has told you. It is not a clinical determination, it is not reviewed or verified by us or by any clinician, and it is not medical advice. It affects only how the Application calculates your streak and adherence figures. Tagging a reason “Clinically Justified” does not mean a dose was safe to skip, and tagging one “Not Clinically Justified” does not mean a dose was skipped inappropriately.
User Responsibilities & Device Settings
- Data Accuracy: You are solely responsible for the accuracy and completeness of the medication information — such as names, dosages, and schedules — that you input. This responsibility extends to any health conditions, healthcare providers, healthcare facilities, and other details you add to your Health Profile. You should review your medication schedule previews, calendar, and the other pages of your Health Profile regularly to ensure accuracy.
- Medication Management: Ultimate responsibility for medication management lies with the user, not the Application. Upkit is not responsible for errors in user data or adverse outcomes resulting from reliance on the app.
- Verification: Always verify your input against your physical prescriptions or consult a healthcare professional. It is your job to check that reminders alarm regularly on your device.
- Device Configuration: You acknowledge that the delivery of reminders depends on your device settings. It is your responsibility to ensure that Upkit is permitted to send notifications and is exempt from “Battery Optimization” or “Doze Mode” settings that may prevent the app from running in the background. That said, the delivery of reminders could stop for any other technical reason. You should always check that the app is functioning and take the appropriate steps based on your doctor’s directions.
- Stock & Refill Reminders: If you track stock for a medication, the figure Upkit shows is an estimate. It starts from the last count you entered and falls with every dose you mark as taken and with every scheduled dose you leave unmarked once its time has passed. Doses you mark as skipped, and any supply that did not pass through the app, do not change it, and the figure can fall below zero. Refill reminders are calculated from this estimate and from the thresholds you set; they are not a substitute for checking your physical supply, and you remain responsible for refilling in time. If you stop tracking stock and choose to delete its entries, those entries are removed permanently from your history and from any report you export afterwards. Doses you marked are not affected.
- Monthly Schedules: A monthly schedule lets you choose days 1 to 30. February does not have days 29 and 30 in most years, or day 30 in leap years; a chosen day February does not have moves to the last day of that February, and if two chosen days move to the same date, that February has one dosing day for them instead of two. Upkit shows this before you save. You are responsible for reviewing the schedule preview and confirming with your prescriber that the resulting dates are acceptable.
- Managing Another Person’s Profile: Upkit may allow you to create and manage independent or separate profiles, including profiles for a minor or another person in your care. If you create or manage a profile on behalf of someone else, you confirm that you are their parent or legal guardian, or that you otherwise have the lawful authority and any necessary consent to manage their health information. You are solely responsible for that person’s data and for complying with any laws that apply to it. If your authority or consent to manage that person’s information ends — for example, because a caregiving arrangement ends, custody changes, or a minor reaches the age of majority — you must stop managing their profile and delete their data from your device, unless you continue to have a lawful basis to retain it. Because their information is stored locally on your device, you are responsible for removing it.
Application Updates
- Maintenance and Bug Fixes: We may periodically release updates to provide bug fixes, security patches, or new features. These updates are essential for the continued functionality and safety of the application.
- User Responsibility: You are solely responsible for ensuring that you are running the latest version of Upkit. You should enable automatic updates on your device or regularly check your app store for new versions.
- Liability for Outdated Versions: Synctronic LTD shall not be held liable for any malfunctions, errors, or missed reminders occurring on versions of the application that are no longer supported or are outdated.
- Feature Changes: We reserve the right to modify or remove specific features during updates to improve the overall user experience or comply with technical or legal requirements.
Data Practices & “Offline-First” Warning
- Local Storage: All personal medical information (PHI) — such as medication records and your Health Profile information (including health conditions, healthcare providers, and healthcare facilities) — is stored locally on your device. We do not upload your personal medical data to cloud servers or remote databases unless explicit consent is provided for future features. Unless and until you enable a feature that we clearly identify as involving cloud storage or synchronization, and consent to it, your data remains solely on your device and is not transmitted to or accessible by us. The location and map features described below are a limited exception: when you use them, your search text is sent to a third-party map provider, as explained in “Location & Map Features.”
- No Backups: Because Upkit is an offline application, Synctronic LTD does not store or back up your data. In the event of device loss, damage, app uninstallation, or technical failure, your data cannot be recovered by us. Your device’s own operating-system backup may separately include app data; any such backup is provided by Apple or Google under their terms, not by us, and we can neither read it nor restore it on your behalf.
- Device Security: You are responsible for maintaining the security of your device. Using the application on “rooted” or modified devices is at your own risk and may compromise data privacy.
- Location & Map Features: Certain Health Profile features let you set a location or search for a place or address using third-party map and geocoding services. When you use these features, the text you enter, the area of any map you view, and related request data leave your device and are sent to and processed by the third-party map provider on its own servers; this is an exception to Upkit’s otherwise offline operation. That processing is governed by the provider’s own terms and privacy policy, not these Terms, and we do not control how the provider handles your data. Map and location data is provided “as is,” may be inaccurate or outdated, and is offered for general reference only.
Reports & Data Exports
- What a Report Is: Upkit lets you export two kinds of reports. A History Report contains the recorded history of a single medication as a PDF or CSV file, limited to the date range, record types, and level of detail you select before exporting; you may export a separate History Report for each medication you record. A Medication Report is a PDF listing the medications you select, with their schedules, instruction notes, the pause reason if a medication is currently paused, and the latest photo you attached. Both are generated on your device from your own entries — doses, units, notes, pause reasons, and photos as you last entered them. A report shows the current state of your records, not when they were created or how they were changed; Upkit keeps no audit trail. A report is a self-recorded log, not a medical record.
- No Verification or Interpretation: We provide the export function only. We do not verify that your entries are accurate or complete, do not check, score, or clinically interpret the contents of a report, and do not sign, certify, timestamp, or otherwise authenticate exported files. The Upkit name and logo printed on a report are part of the layout, not a mark of authenticity. A document that appears to be an Upkit report is not proof that we produced it, that a particular person produced it, or that its contents are unmodified.
- We Never Receive a Copy: The file is created on your device and is not transmitted to us at any point. We hold no copy of any report you generate and cannot retrieve, reproduce, or delete one.
- Technical Faults: Producing a report is a software process, and software can fail. A report may be incomplete, mis-formatted, mis-paginated, or otherwise wrong because of a defect, an interrupted export, an unsupported device or configuration, or an error we have not yet identified. We do not warrant that any report is free of such faults, and a report that looks complete may not be. This is one of the reasons you must check a report before you rely on it or share it.
- Your Responsibilities: You are responsible for the accuracy and completeness of the entries you record; for reviewing a report — including checking that it has generated correctly and completely, and that what it shows matches what you recorded — before you rely on it or share it; for the filters you apply and the medications you choose to include, and for making clear to any recipient what was excluded and how you record your entries; for keeping any photo you attach current, since a report reproduces it as it was taken; for deciding who receives the file and by what means; and for the security of any copy you save or send. Where a report runs to more than one page, you are also responsible for sharing all of its pages: the reporting period and the list of what was left out (History Report), or the count of medications included (Medication Report), appear on the first page only.
- Permitted Use: Reports are provided for your personal reference and as a discussion aid with your care team. They are not suitable, and must not be used, as evidence or as a record of fact in legal proceedings, insurance claims or underwriting, employment or fitness-for-duty decisions, clinical trials, regulatory submissions, or any other process requiring a verified, tamper-evident, or attributable record.
- Security of Exported Files: Data inside Upkit is encrypted on your device. An exported report is not encrypted and is not protected by Upkit's security. We do not save it into your device's storage — it is held temporarily and cleaned up. Once you save or send a copy, it becomes an ordinary document governed by the terms of whatever service you used and by the recipient's own practices, not by these Terms.
- Limitation: To the fullest extent permitted by law, we are not liable for any loss or harm arising from: the contents of a report; any error, omission, corruption, or mis-formatting in a report, whether caused by the entries you recorded, by the filters or medication selection you applied, or by a technical fault in the Application; reliance on a report by you or by any recipient; or the disclosure of a report after you have exported, saved, or shared it. Nothing in this section limits liability that cannot lawfully be limited or affects your rights under applicable consumer or health legislation.

Service Availability & Fees
- Current Status: Upkit’s core medication and Health Profile features are provided free of charge. The Application also offers optional paid items — including a voluntary supporter contribution — which are purchased through your app store and are never required in order to use the core features.
- Future Changes: We reserve the right to add, change, or withdraw paid features and subscription models. Where a feature you already rely on becomes paid, we will tell you before the change takes effect.
- Purchases and Cancellation: purchases are processed by the app store you bought through, under its terms and its refund policy. Subscriptions renew until cancelled, and you cancel through your app store account rather than through us.
- Modification: We reserve the right to modify, suspend, or discontinue the application at any time without notice or liability.
Limitation of Liability
- “As Is” Basis: Upkit is provided “as is” and “as available” without any warranties of any kind, express or implied.
- Technical Risks: We do not guarantee that the application will be error-free or that reminders will always trigger as scheduled due to technical errors or potential OS-level interruptions.
- Damages: To the maximum extent permitted by law, Synctronic LTD shall not be liable for any direct, indirect, or consequential damages resulting from your use of, or inability to use, the application.
- Availability: We do not guarantee that the Application will be available, uninterrupted, or accessible at any particular time. Access may be unavailable or interrupted due to maintenance, updates, device or operating-system behavior, or other factors inside or outside our control, and we are not liable for any such unavailability.
- Geography: We reserve the right to limit the application or feature availability to specific regions.
Assumption of Risk & Indemnification
- Assumption of Risk: You understand that Upkit is a scheduling and organization tool, not a medical device or a substitute for professional care, and you accept full responsibility for your own health decisions and for the management of your medications. You use the Application at your own risk.
- Indemnification: To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Synctronic LTD and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your misuse of the Application, your violation of these Terms, your reliance on the Application in a manner these Terms warn against, your infringement of any rights of a third party, or your management of another person’s profile or data.
Interface and Translation Disclaimer
- Interface Accuracy: The App’s user interface — such as field names, labels, reminders, alerts, flows, and settings — is provided for general guidance. While we strive for precision, Upkit does not warrant that any text or translations are error-free, complete, or accurate.
- Linguistic Variations: You acknowledge that any translations we may provide could contain ambiguities or vary based on local dialects and regional interpretations. It is your sole responsibility to ensure that all app-generated reminders, instructions, and settings align exactly with the original medical prescriptions and advice provided by your healthcare professional.
- Limitation of Liability: Upkit is not liable for any damages, health complications, or losses arising from reliance on translated content, linguistic misunderstandings, or discrepancies between the App interface and your medical requirements.
Intellectual Property
- Proprietary Rights: Upkit and its original content, features, and functionality are the proprietary property of Synctronic LTD and are protected by international copyright and trademark laws.
- Third-Party & Open Source: The application utilizes various open-source software libraries and third-party design systems. These components remain the property of their respective owners and are used by Synctronic LTD in accordance with their applicable licenses.
- Trademarks: The “Upkit” name, logo, and all related product names and branding are trademarks of Synctronic LTD. You may not use these trademarks in connection with any product or service without our prior written consent.
- Limited License: We grant you a limited, non-exclusive, and revocable license to use the application for personal, non-commercial purposes. This license does not transfer any ownership rights of the software, branding, or underlying technology to you.
Support & Communications
- Contact: Technical support queries can be directed to hi@upkit.app.
- Limitations: Support personnel cannot provide medical advice or interpret medication instructions. Do not share sensitive health information in support communications.
- No Obligation: Synctronic LTD is under no obligation to provide technical support, maintenance, or specific bug fixes for the application.
- Discretionary Service: Any support offered is at our sole discretion and is provided on an “as-is” and “best effort” basis, without any guarantee of response time or resolution.
- Feedback: If you send us feedback, suggestions, or ideas about the Application, you grant Synctronic LTD a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without any obligation or compensation to you. Please do not include sensitive personal or health information in any feedback you send.
Changes to Terms
- We may update these Terms of Service periodically. Your continued use of the application following any changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you in advance through the Application or by other appropriate means, and we will update the “Last updated” date at the top of these Terms. If you do not agree to the revised Terms, you should stop using the Application.
